This is a template. The operator must review it with qualified legal counsel and fill in every bracketed placeholder before relying on it. It is not legal advice.Last updated: [date of adoption]
01About these terms
These terms govern your use of the website at ponperp.app and its related interfaces (the interface), operated by [operator legal name and address] (we, us). By using the interface you agree to these terms. If you do not agree, do not use it.
The interface is a way to read from and send transactions to the PonPerp smart contracts on Robinhood Chain (the protocol). The protocol runs on a public blockchain and is not controlled by these terms.
02Noncustodial software
- We never hold your funds or your keys, and we cannot move, freeze or recover your assets.
- You sign every transaction in your own wallet. Confirmed transactions cannot be reversed by us or anyone else.
- Your USDG sits in the protocol's contracts. Only your wallet can withdraw your free balance.
- We are not your broker, custodian, exchange, counterparty or fiduciary.
03Eligibility
You may use the interface only if all of the following are true:
- You are at least 18 years old, or the age of majority where you live if higher, and able to enter into a binding agreement.
- You are not a resident of, located in, or incorporated in a prohibited jurisdiction (below), and you are not using a VPN or other tool to hide your location.
- You are not named on, owned or controlled by anyone named on, any sanctions list, including those of the United Nations, the United States (OFAC), the European Union and the United Kingdom.
- Using the interface and trading perpetual futures is legal for you where you are.
04Prohibited jurisdictions
Placeholder list, to be confirmed by the operator
The list below is a starting point only. The operator must confirm it with counsel and keep it current.- [United States of America, including its territories]
- [Canada (at least Ontario)]
- [United Kingdom]
- [Cuba, Iran, North Korea and Syria]
- [The Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine]
- [Russia and Belarus]
- [Any other jurisdiction where offering or using leveraged derivatives through the interface is prohibited]
We may block access from any location at any time. Robinhood Chain itself may also refuse transactions from sanctioned addresses.
05No investment advice
Nothing on the interface is investment, financial, legal or tax advice, or an offer or recommendation to buy or sell anything. Prices, charts, statistics, leaderboards, bot listings and forum posts are information only. They can be delayed, incomplete or wrong. Bots and forum posts come from third parties, not from us. Make your own decisions and consult a professional if you need advice.
06Risk disclosure
Trading perpetual futures with leverage is high risk and is not suitable for most people. By using the interface you confirm that you understand and accept the risks below. The risks section of the docs explains them in more detail.
- Leverage. You can lose all of the margin in a position within seconds. Positions can be liquidated by anyone at the oracle price, and you receive nothing back from a liquidated position.
- Market hours and gaps. Stock and gold markets close. Prices can reopen far from where they closed, past your stop loss or liquidation price.
- Oracles. Prices come from third-party RedStone signers, and three markets depend on a single signer. Wrong, late or missing prices can cause losses.
- Smart contracts. Smart contracts can contain bugs, and these contracts cannot be upgraded. Bugs, exploits or unexpected behavior can lead to the loss or locking of funds.
- Admin keys. Contract owners, which may include us, can change trading parameters without delay, pause new positions and vault deposits, and, after a 2-day timelock, replace the oracle. These changes can affect open positions.
- Liquidity provision. PLP vault deposits can lose value when traders win or positions leave bad debt, and withdrawals can be locked or held.
- Networks and tokens. Robinhood Chain, bridges, wallets, RPC providers and USDG are run by third parties and can fail, halt or be restricted.
- Regulation. Laws can change and may restrict or prohibit your use of the protocol or the interface.
07Your responsibilities
- Keep your wallet, seed phrase and any agent keys safe. Anyone with your keys can control your accounts. We cannot help you recover them.
- Check every transaction, address and amount before you sign it.
- Review the agents and bots you authorize. They can trade your accounts within the limits you grant.
- Follow the laws that apply to you, and report and pay your own taxes.
- Do not use the interface or the protocol for market manipulation, exploits, money laundering, sanctions evasion or any other unlawful purpose.
08Fees
The protocol charges the trading, execution, funding, vault and bot fees described in the docs. They are set in the contracts and can change. You also pay network gas and any fees of third-party wallets and bridges. We do not charge anything on top through the interface.
09Third-party services
The interface relies on services we do not control, including Robinhood Chain, RedStone, Paxos (USDG), WalletConnect and Reown, Hyperliquid market data, RPC providers and bridges. We are not affiliated with them or with the companies whose stocks are listed, and we are not responsible for their services, availability or content.
10Availability of the interface
We may change, suspend or stop the interface, or restrict access to it, at any time and without notice. The protocol may keep working without the interface, and you can interact with it through other tools.
11No warranties
The interface and the protocol are provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that they will be secure, uninterrupted or free of errors.
12Limitation of liability
To the fullest extent the law allows, we and our affiliates, contributors and service providers are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of funds, profits, data or opportunity arising from your use of the interface or the protocol. Where liability cannot be excluded, it is limited to [amount, for example USD 100].
13Indemnity
You agree to indemnify us against claims, losses and costs, including reasonable legal fees, arising from your breach of these terms or of any law, or from your use of the interface.
14Changes to these terms
We may update these terms. The date at the top shows the latest version. Changes apply from the time they are posted. If you keep using the interface after a change, you accept the updated terms.
15Governing law and disputes
These terms are governed by the laws of [jurisdiction]. Disputes are resolved by [courts or arbitration body and seat]. If a provision is found unenforceable, the rest of these terms still apply.
